Lifestyle-First Business Model Retreat – Terms of Use

Please read these Terms of Use carefully before purchasing or registering for the Lifestyle-First Business Model Retreat.

AGREEMENT TO TERMS

The Lifestyle-First Business Model Retreat (the “Retreat”) is owned and operated by Your Content Empire, a business operating in Victoria, British Columbia, Canada (hereafter known as “Company”, “we”, “us”, or “our”). The term “you” refers to any purchaser and/or participant of the Retreat.

By purchasing or registering for the Lifestyle-First Business Model Retreat, you are agreeing to these Terms of Use and are legally bound by them, whether or not you have read them. If you do not agree with these Terms of Use, please do not purchase or register for the Retreat.

RETREAT DESCRIPTION

The Lifestyle-First Business Model Retreat is a 3-day in-person strategic planning retreat taking place October 5-8, 2025 at an oceanfront estate in Chemainus, British Columbia, Canada.

The Retreat includes:

3 days of facilitated business model design sessions
Lifestyle-First Business Model Workbook
All facilitated sessions (10am-4:30pm daily on October 6-7)
Hot-seat coaching with Hailey Burkhead
Peer masterminding and connection
Q4 action planning session
Swag bag

Additional inclusions based on attendance option:

House Guest Option ($2,500 CAD):

Private bedroom at the oceanfront estate
All meals (breakfast, lunch, dinner) from October 5-8
Breakfast masterminding sessions (house guests only)
Evening wine and connection time

Offsite Attendance Option ($1,500 CAD):

All lunches and dinners from October 5-8
Evening wine and connection time (until 9pm)
You arrange your own accommodations and breakfast

INTELLECTUAL PROPERTY RIGHTS

Our Limited License to You

All Retreat materials, including but not limited to the Lifestyle-First Business Model Canvas, workbook, frameworks, templates, worksheets and any other content provided through the Retreat (collectively, “Retreat Materials”) are the exclusive property of Your Content Empire and are protected by copyright, trademark and other intellectual property laws.

When you purchase registration for the Lifestyle-First Business Model Retreat, you are granted a limited, revocable, non-transferable, non-exclusive license for personal, non-commercial use only. This license is limited to you individually and may not be shared, transferred or sublicensed to any other person or entity.

What You Are Permitted To Do

You may:

Use Retreat Materials for your own personal business use
Implement strategies and frameworks taught in the Retreat in your own business
Take notes and create personal summaries during Retreat sessions
Reference your completed Business Model Canvas for your own business planning

What You Are Prohibited From Doing

You may NOT:

Copy, share, sell or distribute any Retreat Materials to any other person
Teach, resell or create derivative works based on our Retreat Materials, frameworks or methodologies
Use any Retreat Materials in your own products, services, courses or coaching programs
Share Retreat Materials with team members, assistants or contractors unless explicitly authorized
Post, publish or share Retreat Materials on social media, blogs or any public platform
Record any Retreat sessions (audio, video or otherwise) without explicit written permission

You understand and agree that unauthorized use, sharing or distribution of Retreat Materials constitutes theft of intellectual property and we reserve the right to pursue legal action to the fullest extent of the law.

Your License to Us

By participating in the Lifestyle-First Business Model Retreat and submitting any materials, testimonials, success stories, comments, photos, videos or other content to us, you grant us an unlimited, royalty-free, perpetual, irrevocable, non-exclusive, unrestricted, worldwide license to use, modify, reproduce and display such content for marketing, promotional, educational or any other business purposes without additional compensation to you.

MEDIA RELEASE AND RESULTS SHARING

Photography and Videography

By participating in the Retreat, you consent to photographs, videos and/or audio recordings that may be made during Retreat sessions or activities. We reserve the right to use these materials in our current or future marketing, promotional efforts or program materials without additional compensation to you.

If you do not wish to be photographed or recorded, you must notify us in writing at hello@yourcontentempire.com at least 7 days prior to the Retreat start date. We will make reasonable efforts to accommodate your request but cannot guarantee you will not appear in group photos or background footage.

Testimonials and Results Sharing

You agree that we may:

Request testimonials, reviews or feedback about your experience in the Retreat
Share your testimonials, success stories and results publicly for marketing purposes with your explicit permission
Share anonymized or de-identified information about attendee results, experiences and outcomes without your permission (your name and identifying business details will be removed)
Use case studies based on your experience with your explicit written permission

You understand that:

You are never required to provide a testimonial or share your results
We will always request permission before sharing any attributed testimonials, success stories or results that identify you or your business by name
Anonymized sharing means your specific identity will be protected while general outcomes, strategies or experiences may be referenced
You may request that we not share any information about your participation or results, even anonymously, by notifying us in writing at hello@yourcontentempire.com

We are committed to respecting your privacy while also being able to demonstrate the value and outcomes of our Retreat for potential attendees.

PAYMENT TERMS

Payment Processing

Payment for the Lifestyle-First Business Model Retreat will be processed at the time of registration. If paying by credit card, debit card or PayPal, you authorize us to automatically charge your payment method for the full retreat fee or according to the payment plan you selected.

House Guest Option: $2,500 CAD (payment plans available)
Offsite Attendance Option: $1,500 CAD (payment plans available)

If you selected a payment plan, you authorize recurring charges to your payment method according to the payment schedule provided at purchase. Failure to make scheduled payments may result in immediate cancellation of your Retreat registration.

Failed or Late Payments

If a scheduled payment fails or is not received by the due date, you will have a three (3) day grace period to update your payment method and complete the payment. After three (3) days, your Retreat registration will be cancelled and your spot may be offered to another attendee.

If you fail to make payment within thirty (30) days of the original due date, we reserve the right to pursue collection of any outstanding amounts owed, including through a collections agency. We may report delinquent accounts to credit reporting agencies.

Chargebacks

We do not tolerate chargeback threats or actual chargebacks. Our refund policy is clearly stated in these Terms of Use. If you initiate a chargeback with your credit card company or payment processor, we reserve the right to:

Immediately cancel your Retreat registration
Report the incident to credit reporting agencies
Report your information to chargeback databases
Pursue legal action to recover the amount owed plus any associated fees

Information reported may include your name, email address, order date, order amount and billing address.

NO REFUND POLICY

The Lifestyle-First Business Model Retreat has a strict NO REFUND policy.

Due to the intimate nature of this retreat, the limited capacity (maximum 8 attendees), the significant advance planning and resource investment required and the fact that your registration prevents another person from attending, no refunds will be provided under any circumstances once you have purchased your Retreat registration.

By purchasing registration for the Lifestyle-First Business Model Retreat, you acknowledge and agree that:

No refunds will be provided for any reason, including but not limited to change of plans, illness, inability to travel, dissatisfaction with the Retreat or change of circumstances
You are responsible for the full retreat fee regardless of whether you attend all sessions or complete all Retreat activities
If you voluntarily withdraw from the Retreat at any time, you remain fully responsible for all payments owed
Refunds will not be provided if we cancel your registration due to violation of these Terms of Use
This no refund policy applies to both the full retreat fee and individual payment plan installments

Spot Transfer Option

While we do not provide refunds, you may transfer your Retreat registration to another person if:

You provide written notice to hello@yourcontentempire.com at least 30 days prior to the Retreat start date (by September 5, 2025)
The replacement attendee meets our criteria for the Retreat (established business owner with 2+ years in business)
The replacement attendee agrees to these Terms of Use
We approve the transfer in writing (approval will not be unreasonably withheld)

No transfers will be permitted less than 30 days before the Retreat start date.

Retreat Cancellation by Company

In the unlikely event that we must cancel the Retreat due to circumstances beyond our control (including but not limited to natural disasters, public health emergencies or insufficient enrollment), we will provide:

Full refund of all amounts paid, OR
Option to transfer your registration to a future Retreat date

We are not liable for any travel expenses, accommodations or other costs you may have incurred in preparation for attending the Retreat.

RETREAT PARTICIPATION AND YOUR RESPONSIBILITIES

Travel and Accommodations

You are solely responsible for:

Arranging your own travel to and from Chemainus, British Columbia
All travel costs including flights, ferry tickets, ground transportation
Travel insurance (highly recommended)
Valid identification and any required travel documents

For House Guests: Your accommodations at the oceanfront estate and all meals are included in your registration fee.

For Offsite Attendees: You are responsible for arranging and paying for your own accommodations and breakfast. We recommend booking accommodations early as October is a popular time to visit Vancouver Island.

Attendance Requirements

You are required to:

Arrive on time for the Welcome Dinner at 6:00pm on Monday, October 5, 2025
Attend all facilitated sessions from 10:00am-4:30pm on Tuesday, October 6 and Wednesday, October 7
Attend the Departure Breakfast and closing session at 8:00am on Thursday, October 8
Participate actively and respectfully in all Retreat activities
Complete any pre-Retreat questionnaires or preparation work

If you miss any scheduled Retreat sessions or activities, no refunds or make-up sessions will be provided.

Your Commitment

Your results depend on your active participation and implementation. You agree that:

You are responsible for completing all assigned work during the Retreat
You will show up prepared and engaged for all sessions
You understand that results require your active participation and effort after the Retreat ends
We are not responsible for your results or lack thereof

Conduct and Behavior

You agree to:

Treat all Retreat attendees, facilitators and staff with respect and courtesy
Maintain confidentiality regarding other attendees' business information and personal details shared during the Retreat
Refrain from any disruptive, inappropriate or illegal behavior
Follow all house rules and property guidelines at the Retreat location
Consume alcohol responsibly if you choose to partake in evening wine activities

We reserve the right to immediately remove any attendee who violates these conduct standards without refund.

DISCLAIMER AND LIMITATION OF LIABILITY

Nature of the Retreat

The Lifestyle-First Business Model Retreat is for educational and informational purposes only. We provide strategic guidance, frameworks and coaching but we do not guarantee any specific results, outcomes or revenue increases.

No Guarantees

We expressly disclaim any representations or guarantees regarding:

Specific revenue results or income levels
Business growth or scaling outcomes
Number of clients, customers or sales you will generate
Success of any specific strategy, plan or implementation
Return on investment in the Retreat

Your results will vary based on numerous factors including but not limited to your effort, implementation, market conditions, business model, expertise, audience and countless other variables beyond our control.

Assumption of Risk

You acknowledge and agree that:

You are using your own judgment in implementing strategies from the Retreat
You assume all risks associated with implementing advice, strategies or recommendations
You are solely responsible for your business decisions and outcomes
We are not liable for any business losses, lost revenue, lost profits or any other damages resulting from your participation in the Retreat

Travel and Health Risks

You acknowledge and agree that:

You assume all risks associated with travel to and from the Retreat location
You are responsible for your own health, safety and wellbeing during the Retreat
You will inform us of any dietary restrictions, allergies or medical conditions that may affect your Retreat experience
We are not liable for any illness, injury or accident that occurs during the Retreat
We strongly recommend purchasing travel insurance

Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, YOUR CONTENT EMPIRE AND ITS OWNERS, EMPLOYEES, CONTRACTORS AND AFFILIATES SHALL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR PARTICIPATION IN THE LIFESTYLE-FIRST BUSINESS MODEL RETREAT, INCLUDING BUT NOT LIMITED TO LOST PROFITS, LOST REVENUE, BUSINESS INTERRUPTION OR ANY OTHER COMMERCIAL DAMAGES OR LOSSES.

Our total aggregate liability to you for any and all claims arising out of or related to the Retreat shall not exceed the amount you paid for your Retreat registration.

Property and Venue Disclaimer

We have made arrangements for the Retreat venue but are not liable for:

Any property damage, loss or theft of personal belongings during the Retreat
Venue conditions, amenities or any issues with the property
Changes to venue or accommodations due to circumstances beyond our control

You are responsible for your own belongings and any damage you cause to the property.

CONFIDENTIALITY

Your Confidential Information

Any information you share during Retreat sessions, in pre-Retreat questionnaires or through Retreat communications is considered confidential. We will:

Keep your business information, strategies and personal details confidential
Not share your specific business details with others without your permission
Use appropriate security measures to protect your information

However, we may use anonymized or de-identified information from attendee experiences for marketing, teaching or educational purposes.

Other Attendees' Confidential Information

You agree to:

Keep confidential any business information, strategies or personal details shared by other Retreat attendees
Not disclose, share or use other attendees' information for any purpose outside the Retreat
Respect the privacy and trust of all Retreat participants

Our Confidential Information

All Retreat Materials, frameworks, methodologies, templates and content are confidential and proprietary. You agree to:

Keep all Retreat Materials confidential
Not disclose our proprietary frameworks or methodologies to others
Not share specific coaching advice or strategies publicly without permission

TERMINATION

Termination by You

You may withdraw from the Lifestyle-First Business Model Retreat at any time by providing written notice to hello@yourcontentempire.com. However:

You remain responsible for all payments owed, including any remaining payment plan installments
No refunds will be provided
Your Retreat registration will be immediately cancelled

Termination by Us

We reserve the right to cancel your Retreat registration immediately and without refund if you:

Violate any terms of these Terms of Use
Share or distribute Retreat Materials without authorization
Engage in abusive, harassing or inappropriate behavior toward us, other attendees or Retreat staff
Fail to make required payments
Engage in any illegal activity related to the Retreat
Provide false information in your registration or application

Upon termination, you will be prohibited from attending the Retreat and you will remain responsible for any outstanding payments.

DISPUTE RESOLUTION AND GOVERNING LAW

Governing Law

These Terms of Use shall be governed by and construed in accordance with the laws of the Province of British Columbia, Canada, without regard to its conflict of law provisions.

Binding Arbitration

Any dispute, claim or controversy arising out of or relating to the Lifestyle-First Business Model Retreat or these Terms of Use shall be resolved through binding arbitration before a single arbitrator in Victoria, British Columbia, Canada.

Arbitration Process:

Prior to initiating arbitration, you must send written notice of your dispute to hello@yourcontentempire.com and allow thirty (30) days for us to attempt to resolve the matter
If we cannot resolve the dispute within thirty (30) days, either party may initiate binding arbitration
The arbitration shall be conducted in English in Victoria, British Columbia
The arbitrator's decision shall be final and binding
The prevailing party shall be entitled to recover reasonable attorneys' fees and costs

Limitation on Remedies: You acknowledge and agree that the only remedy available through arbitration is a refund of amounts paid to date. You waive any right to seek consequential damages, punitive damages, lost profits or any other damages beyond a refund of your retreat fee.

Statute of Limitations: Any arbitration must be commenced within one (1) year from the date of the dispute notice or you waive the right to arbitration or any other legal action.

Class Action Waiver

You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated or representative action.

Non-Disparagement

During any dispute resolution process, you agree not to make any public statements, social media posts or other communications designed to harm our reputation or business. This does not prevent you from providing truthful testimony as required by law or in arbitration proceedings.

GENERAL PROVISIONS

Entire Agreement

These Terms of Use, together with our Privacy Policy and any other written agreements between us, constitute the entire agreement between you and Your Content Empire regarding the Lifestyle-First Business Model Retreat.

Modifications

We reserve the right to modify these Terms of Use at any time. Modifications will be effective immediately upon posting. Continued registration for the Retreat after modifications constitutes acceptance of the modified terms. Material changes will be communicated to registered attendees via email.

Severability

If any provision of these Terms of Use is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that the remaining terms remain in full force and effect.

No Waiver

Our failure to enforce any right or provision of these Terms of Use shall not constitute a waiver of such right or provision.

Assignment

You may not assign or transfer these Terms of Use or your Retreat registration. We may assign or transfer our rights and obligations under these Terms of Use without restriction.

By purchasing registration for the Lifestyle-First Business Model Retreat, you acknowledge that:

You have read and understood these Terms of Use in their entirety
You agree to be legally bound by these Terms of Use
You understand and accept the NO REFUND policy
You understand that results are not guaranteed and you are responsible for your own outcomes
You agree to binding arbitration in Victoria, British Columbia, Canada for any disputes
You are at least 18 years of age
You have the legal authority to enter into this agreement
You are responsible for your own travel, health and safety

By completing your purchase, you are electronically signing these Terms of Use and agreeing to be bound by all terms and conditions herein.
