Your Signature Scaling System and Coaching Programs – Terms of Use

Please read these Terms of Use carefully before purchasing or accessing Your Signature Scaling System.

AGREEMENT TO TERMS

Your Signature Scaling System (the “Program”) is owned and operated by Your Content Empire, a business operating in Victoria, British Columbia, Canada (hereafter known as “Company”, “we”, “us”, or “our”). The term “you” refers to any purchaser and/or participant of the Program.

By purchasing or participating in Your Signature Scaling System, you are agreeing to these Terms of Use and are legally bound by them, whether or not you have read them. If you do not agree with these Terms of Use, please do not purchase or participate in the Program.

PROGRAM DESCRIPTION

Your Signature Scaling System is a personalized coaching program available in 3-month or 12-month durations. The Program includes:

One (1) 90-minute planning intensive session to create your custom scaling roadmap
Bi-weekly 60-minute coaching sessions
Access to your Signature Scaling Dashboard
Unlimited quick questions and strategy support between sessions
Copy and strategy reviews as outlined in your program package
Hand-picked templates and resources

The specific number of sessions and duration of support depends on whether you purchased the 3-month or 12-month program option.

INTELLECTUAL PROPERTY RIGHTS

Our Limited License to You

All Program materials, including but not limited to frameworks, templates, worksheets, training materials, recordings, written materials, and any other content provided through Your Signature Scaling System (collectively, “Program Materials”) are the exclusive property of Your Content Empire and are protected by copyright, trademark, and other intellectual property laws.

When you purchase Your Signature Scaling System, you are granted a limited, revocable, non-transferable, non-exclusive license for personal, non-commercial use only. This license is limited to you individually and may not be shared, transferred, or sublicensed to any other person or entity.

What You Are Permitted To Do

You may:

Download and use Program Materials for your own personal business use
Implement strategies and frameworks taught in the Program in your own business
Take notes and create personal summaries during coaching sessions

What You Are Prohibited From Doing

You may NOT:

Copy, share, sell, or distribute any Program Materials to any other person
Share your login credentials or access to any Program portals, dashboards, or private groups
Teach, resell, or create derivative works based on our Program Materials, frameworks, or methodologies
Use any Program Materials in your own products, services, courses, or coaching programs
Share Program Materials with team members, assistants, or contractors unless explicitly authorized
Post, publish, or share Program Materials on social media, blogs, or any public platform

You understand and agree that unauthorized use, sharing, or distribution of Program Materials constitutes theft of intellectual property, and we reserve the right to pursue legal action to the fullest extent of the law.

Your License to Us

By participating in Your Signature Scaling System and submitting any materials, testimonials, success stories, comments, photos, videos, or other content to us, you grant us an unlimited, royalty-free, perpetual, irrevocable, non-exclusive, unrestricted, worldwide license to use, modify, reproduce, and display such content for marketing, promotional, educational, or any other business purposes without additional compensation to you.

Media Release and Results Sharing

By participating in the Program, you consent to photographs, videos, and/or audio recordings that may be made during coaching sessions or Program activities. We reserve the right to use these materials in our current or future marketing, promotional efforts, or Program materials without additional compensation to you.

Session Recordings: Coaching sessions may be recorded for your benefit and for our quality assurance and training purposes. You may also record sessions for your personal use. By participating in the Program, you consent to these recordings.

Testimonials and Results Sharing: You agree that we may:

Request testimonials, reviews, or feedback about your experience in the Program
Share your testimonials, success stories, and results publicly for marketing purposes with your explicit permission
Share anonymized or de-identified information about client results, experiences, and outcomes without your permission (your name and identifying business details will be removed)
Use case studies based on your experience with your explicit written permission

You understand that:

You are never required to provide a testimonial or share your results
We will always request permission before sharing any attributed testimonials, success stories, or results that identify you or your business by name
Anonymized sharing means your specific identity will be protected while general outcomes, strategies, or experiences may be referenced
You may request that we not share any information about your participation or results, even anonymously, by notifying us in writing at hello@yourcontentempire.com

We are committed to respecting your privacy while also being able to demonstrate the value and outcomes of our Program for potential clients.

PAYMENT TERMS

Payment Processing

Payment for Your Signature Scaling System will be processed at the time of purchase. If paying by credit card, debit card, or PayPal, you authorize us to automatically charge your payment method for the full program fee or according to the payment plan you selected.

3-Month Program: $3,000 USD (payment plans available)
12-Month Program: $10,000 USD (payment plans available)

If you selected a payment plan, you authorize recurring charges to your payment method according to the payment schedule provided at purchase. Failure to make scheduled payments may result in immediate suspension of Program access and coaching sessions until payment is received.

Failed or Late Payments

If a scheduled payment fails or is not received by the due date, you will have a three (3) day grace period to update your payment method and complete the payment. After three (3) days, your access to the Program will be suspended until payment is received.

If you fail to make payment within thirty (30) days of the original due date, we reserve the right to permanently terminate your Program access and pursue collection of any outstanding amounts owed, including through a collections agency. We may report delinquent accounts to credit reporting agencies.

Chargebacks

We do not tolerate chargeback threats or actual chargebacks. Our refund policy is clearly stated in these Terms of Use. If you initiate a chargeback with your credit card company or payment processor, we reserve the right to:

Immediately terminate your Program access
Report the incident to credit reporting agencies
Report your information to chargeback databases
Pursue legal action to recover the amount owed plus any associated fees

Information reported may include your name, email address, order date, order amount, and billing address.

NO REFUND POLICY

Your Signature Scaling System has a strict NO REFUND policy.

Due to the personalized, high-touch nature of this coaching program and the significant time, preparation, and resources invested in each client, no refunds will be provided under any circumstances once you have purchased the Program.

By purchasing Your Signature Scaling System, you acknowledge and agree that:

No refunds will be provided for any reason, including but not limited to dissatisfaction with the Program, change of circumstances, or inability to attend scheduled sessions
You are responsible for the full program fee regardless of whether you complete the Program, attend all sessions, or utilize all Program Materials
If you voluntarily withdraw from the Program at any time, you remain fully responsible for all payments owed
Refunds will not be provided if we terminate your access due to violation of these Terms of Use

This no refund policy applies to both the full program fee and individual payment plan installments.

If you are unsure whether Your Signature Scaling System is right for you, please book a complimentary strategy call before purchasing to ensure this Program aligns with your needs and goals.

PROGRAM PARTICIPATION AND YOUR RESPONSIBILITIES

Scheduling and Attendance

You are responsible for:

Completing the intake questionnaire within 5-7 days of purchase
Scheduling your 90-minute planning intensive and all coaching sessions
Attending scheduled sessions on time
Providing at least 24 hours' notice if you need to reschedule a session
Rescheduling missed sessions within the Program timeframe

Missed Sessions: If you miss a scheduled session without providing at least 24 hours' notice, that session will be forfeited and cannot be rescheduled. Sessions cannot be carried over beyond your Program end date.

Rescheduling: You may reschedule sessions with at least 24 hours' notice. Sessions must be rescheduled and completed within your 3-month or 12-month Program timeframe. Sessions cannot be extended beyond your Program end date without mutual written agreement.

Your Commitment

Your results depend on your active participation and implementation. You agree that:

You are responsible for completing all assigned work, homework, or implementation tasks
You will show up prepared and engaged for all coaching sessions
You understand that results require your active participation and effort
We are not responsible for your results or lack thereof

DISCLAIMER AND LIMITATION OF LIABILITY

Nature of the Program

Your Signature Scaling System is for educational and informational purposes only. We provide strategic guidance, frameworks, and coaching, but we do not guarantee any specific results, outcomes, or revenue increases.

No Guarantees

We expressly disclaim any representations or guarantees regarding:

Specific revenue results or income levels
Business growth or scaling outcomes
Number of clients, customers, or sales you will generate
Success of any specific strategy, campaign, or implementation
Return on investment in the Program

Your results will vary based on numerous factors including but not limited to your effort, implementation, market conditions, business model, expertise, audience, and countless other variables beyond our control.

Assumption of Risk

You acknowledge and agree that:

You are using your own judgment in implementing strategies from the Program
You assume all risks associated with implementing advice, strategies, or recommendations
You are solely responsible for your business decisions and outcomes
We are not liable for any business losses, lost revenue, lost profits, or any other damages resulting from your participation in the Program

Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, YOUR CONTENT EMPIRE AND ITS OWNERS, EMPLOYEES, CONTRACTORS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR PARTICIPATION IN YOUR SIGNATURE SCALING SYSTEM, INCLUDING BUT NOT LIMITED TO LOST PROFITS, LOST REVENUE, BUSINESS INTERRUPTION, OR ANY OTHER COMMERCIAL DAMAGES OR LOSSES.

Our total aggregate liability to you for any and all claims arising out of or related to the Program shall not exceed the amount you paid for the Program.

Technology Disclaimer

We strive to provide uninterrupted access to Program Materials and coaching sessions. However, we are not liable for any technical issues, including but not limited to:

Website, portal, or dashboard downtime or errors
Video conferencing platform issues or connection problems
Email delivery issues
Loss of or inability to access Program Materials
Any other technology-related interruptions or failures

In the event of technology issues, we will work to reschedule affected coaching sessions, but no refunds will be provided.

CONFIDENTIALITY

Your Confidential Information

Any information you share during coaching sessions, in the intake questionnaire, or through Program communications is considered confidential. We will:

Keep your business information, strategies, and personal details confidential
Not share your specific business details with other clients without your permission
Use appropriate security measures to protect your information

However, we may use anonymized or de-identified information from client experiences for marketing, teaching, or educational purposes.

Our Confidential Information

All Program Materials, frameworks, methodologies, templates, and coaching content are confidential and proprietary. You agree to:

Keep all Program Materials confidential
Not disclose our proprietary frameworks or methodologies to others
Not share specific coaching advice or strategies publicly without permission

TERMINATION

Termination by You

You may terminate your participation in Your Signature Scaling System at any time by providing written notice to hello@yourcontentempire.com. However:

You remain responsible for all payments owed, including any remaining payment plan installments
No refunds will be provided
Your access to Program Materials and coaching sessions will be immediately revoked

Termination by Us

We reserve the right to terminate your participation in Your Signature Scaling System immediately and without refund if you:

Violate any terms of these Terms of Use
Share or distribute Program Materials without authorization
Engage in abusive, harassing, or inappropriate behavior toward us or other Program participants
Fail to make required payments
Engage in any illegal activity related to the Program

Upon termination, your access to all Program Materials will be immediately revoked and you will remain responsible for any outstanding payments.

DISPUTE RESOLUTION AND GOVERNING LAW

Governing Law

These Terms of Use shall be governed by and construed in accordance with the laws of the Province of British Columbia, Canada, without regard to its conflict of law provisions.

Binding Arbitration

Any dispute, claim, or controversy arising out of or relating to Your Signature Scaling System or these Terms of Use shall be resolved through binding arbitration before a single arbitrator in Victoria, British Columbia, Canada.

Arbitration Process:

Prior to initiating arbitration, you must send written notice of your dispute to hello@yourcontentempire.com and allow thirty (30) days for us to attempt to resolve the matter
If we cannot resolve the dispute within thirty (30) days, either party may initiate binding arbitration
The arbitration shall be conducted in English in Victoria, British Columbia
The arbitrator's decision shall be final and binding
The prevailing party shall be entitled to recover reasonable attorneys' fees and costs

Limitation on Remedies: You acknowledge and agree that the only remedy available through arbitration is a refund of amounts paid to date. You waive any right to seek consequential damages, punitive damages, lost profits, or any other damages beyond a refund of your program fee.

Statute of Limitations: Any arbitration must be commenced within one (1) year from the date of the dispute notice or you waive the right to arbitration or any other legal action.

Class Action Waiver

You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.

Non-Disparagement

During any dispute resolution process, you agree not to make any public statements, social media posts, or other communications designed to harm our reputation or business. This does not prevent you from providing truthful testimony as required by law or in arbitration proceedings.

GENERAL PROVISIONS

Entire Agreement

These Terms of Use, together with our Privacy Policy and any other written agreements between us, constitute the entire agreement between you and Your Content Empire regarding Your Signature Scaling System.

Modifications

We reserve the right to modify these Terms of Use at any time. Modifications will be effective immediately upon posting. Your continued participation in the Program after modifications constitutes acceptance of the modified terms.

Severability

If any provision of these Terms of Use is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that the remaining terms remain in full force and effect.

No Waiver

Our failure to enforce any right or provision of these Terms of Use shall not constitute a waiver of such right or provision.

Assignment

You may not assign or transfer these Terms of Use or your participation in the Program. We may assign or transfer our rights and obligations under these Terms of Use without restriction.

ACKNOWLEDGMENT

By purchasing Your Signature Scaling System, you acknowledge that:

You have read and understood these Terms of Use in their entirety
You agree to be legally bound by these Terms of Use
You understand and accept the NO REFUND policy
You understand that results are not guaranteed and you are responsible for your own outcomes
You agree to binding arbitration in Victoria, British Columbia, Canada for any disputes
You are at least 18 years of age
You have the legal authority to enter into this agreement

By completing your purchase, you are electronically signing these Terms of Use and agreeing to be bound by all terms and conditions herein.
